Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of PrimeX Liquidation's website, services, auctions, and purchases. By accessing or using our site, placing an order, bidding in an auction, or otherwise interacting with PrimeX Liquidation ("PrimeX", "we", "us", "our"), you agree to be bound by these Terms. If you do not agree, do not use our services.

Scope of Services

PrimeX Liquidation operates as a pallet liquidation dealer offering pallet lots, mixed assortments, customer returns, overstock, and specialty lots including perfumes, apparel, shoes, and electronics. We sell inventory via fixed‑price listings, auctions, and negotiated wholesale agreements. These Terms apply to all purchases, bids, account registrations, and interactions with PrimeX.

Account Registration and Eligibility

**Eligibility** You must be at least 18 years old and legally able to enter into contracts to use PrimeX services. By creating an account you represent and warrant that the information you provide is accurate and complete.

**Account Security** You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify PrimeX immediately of any unauthorized use. PrimeX is not liable for losses resulting from unauthorized account use unless caused by our gross negligence.

Purchases and Auctions

**Orders** Fixed‑price orders require payment at checkout. Orders are accepted when PrimeX issues an order confirmation. We reserve the right to refuse or cancel orders for any reason, including inventory errors, pricing mistakes, or suspected fraud.

**Auctions** Auction terms are posted with each lot. Winning bidders are bound by the auction terms and must pay deposits and final balances within the timeframe specified. Auction lots may be sold as‑is and final sale terms may apply; check each auction listing carefully.

**Pricing** Prices are listed in U.S. Dollars. PrimeX may change prices, promotions, or fees at any time. Errors in pricing or product information may be corrected by PrimeX and PrimeX may cancel orders placed at incorrect prices.

Payment Terms

**Accepted Methods** PrimeX accepts major credit and debit cards, PayPal where available, bank wires, ACH for approved accounts, and company checks by prior arrangement. Payment is due as specified in the listing or invoice.

**Verification** PrimeX may require identity verification, additional documentation, or deposit for certain orders. Orders may be placed on hold until verification is complete.

**Chargebacks** If you dispute a charge with your card issuer, notify PrimeX immediately at returns@primexliquidation.com. Unresolved chargebacks may result in account suspension and additional fees.

Shipping and Delivery

**Freight Methods** PrimeX ships palletized freight via LTL and FTL carriers, and offers curbside, liftgate, inside delivery, and local pickup where available. Shipping details and freight estimates are provided at checkout or by request.

**Buyer Responsibilities** Buyers must provide accurate delivery information, be available for delivery or schedule pickup, and arrange unloading equipment unless liftgate or white‑glove services are purchased. Inspect shipments at delivery and note visible damage on the carrier’s paperwork.

**Accessorial Fees** Accessorial charges assessed by carriers (residential delivery, limited access, re‑delivery, storage) are the buyer’s responsibility unless otherwise agreed in writing.

Returns and Refunds

**General Rule** Due to the nature of liquidation inventory, returns are limited. Returns and refunds are governed by our Return & Refund Policy. Claims for misrepresentation, missing contents, or undisclosed damage must be reported promptly as described in that policy.

**RMA Requirement** Do not return pallets without an authorized Return Merchandise Authorization (RMA). Unauthorized returns may be refused and returned at the buyer’s expense.

Condition Grading and Descriptions

**Grading** Listings include condition grades such as New, Like New, Customer Return, and Salvage. Grades are estimates based on inspection and supplier information. Buyers should review descriptions and photos carefully; minor variance consistent with the stated grade is expected and not grounds for return.

Intellectual Property

**Ownership** All content on the PrimeX website, including text, images, logos, and designs, is owned or licensed by PrimeX and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

User Conduct

**Prohibited Uses** You agree not to use PrimeX for unlawful purposes, to interfere with site operation, to attempt unauthorized access, or to post false or misleading information. PrimeX may suspend or terminate accounts for violations.

Limitation of Liability

**No Consequential Damages** To the fullest extent permitted by law, PrimeX and its affiliates are not liable for indirect, incidental, special, punitive, or consequential damages arising from your use of our services, even if advised of the possibility of such damages.

**Aggregate Liability** PrimeX’s aggregate liability for direct damages arising from these Terms or your use of our services will not exceed the amount you paid to PrimeX for the specific transaction giving rise to the claim in the prior 12 months.

Indemnification

You agree to indemnify and hold PrimeX, its officers, directors, employees, and agents harmless from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your negligence, or your violation of law.

Dispute Resolution and Governing Law

**Governing Law** These Terms are governed by the laws of the State of Texas without regard to conflict of law principles.

**Dispute Resolution** For disputes not resolved informally, parties agree to first attempt mediation. If mediation fails, disputes will be resolved in the state or federal courts located in Harris County, Texas. You and PrimeX consent to personal jurisdiction in those courts.

Privacy and Data

PrimeX’s Privacy Policy explains how we collect, use, and share personal information. By using our services you consent to our data practices described in the Privacy Policy.

Third Party Links and Services

Our site may contain links to third‑party websites, marketplaces, or services. PrimeX is not responsible for third‑party content, practices, or policies. Use third‑party services at your own risk.

Modifications to Services and Terms

PrimeX may modify or discontinue services, listings, or features at any time. We may update these Terms from time to time; material changes will be posted with an updated effective date. Continued use after changes constitutes acceptance of the revised Terms.

Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Failure to enforce any right is not a waiver of that right.
